Title of Presentation: Dental Law 101: A Glance at Incorporation, Good Practices & Purchase and Sale Transactions
Description: This presentation aims to provide a general overview of the legal landscape and considerations relevant to the practice of dentistry in Ontario. In particular, it introduces dentistry professional corporations and their use as a vehicle to carry on business. The presentation will highlight key advantages associated with incorporating a dental practice and will touch on a few tips about good corporate governance, including the importance of corporate records and written material agreements. Additionally, this presentation will cover aspects of purchase and sale transactions involving a dental practice. In particular, it will cover the typical steps associated with these transactions including due diligence, financing and deal structuring.

· Acquire an understanding of the intersection between dentistry and corporate law, including the incorporation process
· Develop a general familiarity with corporate organization and good corporate governance after incorporation
· Gain knowledge and develop an appreciation for the steps and considerations associated with the purchase and sale of a dental practice
Bio: Rojin Jazayeri is a partner in the corporate group at Owens Wright LLP where she maintains a broad and developing transactional practice which encompasses all aspects of corporate and commercial law, including mergers and acquisitions, joint ventures, debt and equity financings and corporate reorganizations. She regularly advises dentists on all aspects of their practice needs, including drafting and negotiation of associate agreements and has acted as counsel in purchase and sale transactions involving dental practices.
